Welcome to Hermes Agent ("Hermes," "we," "us," or "our"). By downloading, installing, or using the Hermes desktop application and any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). Hermes Agent is a desktop application that provides an AI-powered conversational interface for task automation, coding assistance, document processing, web research, and general productivity workflows. The Service may integrate with third-party AI model providers, APIs, and external tools as configured by the user.
You are responsible for any content you submit to the Service, any actions you take based on the Service's outputs, and any configuration of third-party services or API keys you connect to Hermes.
You must be at least 18 years old or the age of majority in your jurisdiction to use Hermes. By using the Service, you represent and warrant that you meet this requirement.

Hermes does not guarantee the accuracy, completeness, or suitability of any AI-generated output. AI models may produce incorrect, biased, or outdated information. Do not use the Service as a substitute for professional advice (legal, medical, financial, or otherwise).
Hermes may connect to third-party services, including AI model providers, cloud storage, web APIs, and other tools ("Third-Party Services"). Your use of any Third-Party Service is subject to that service's own terms, privacy policy, and pricing. Hermes is not responsible for the availability, quality, or content of any Third-Party Service.
You are responsible for obtaining and managing any API keys, tokens, subscriptions, or accounts required to use Third-Party Services through Hermes. Do not share your API keys or credentials with others, and store them securely.
Hermes is a local-first desktop application. Any data you provide to the Service stays on your device unless you explicitly configure Hermes to send data to a third-party service (such as an AI API endpoint). We do not collect, store, or transmit your personal data, conversation history, or files without your explicit action or configuration.

The Hermes application, its source code (where applicable), branding, documentation, and all related intellectual property remain the property of Hermes Agent or its licensors. These Terms do not grant you any rights to the Service's intellectual property other than the limited right to use it as permitted herein.
You retain ownership of any content you input to or generate with Hermes. You are responsible for ensuring you have the necessary rights to use that content, including any outputs.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERMES AGENT AND ITS CONTRIBUTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the extent permitted by applicable law, Hermes Agent's total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you have paid for the Service (if any) in the twelve (12) months preceding the claim.
We may terminate or suspend your access to the Service at any time, without notice, for any reason including suspected violation of these Terms or applicable law. You may stop using the Service at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and confidentiality) will survive.
We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Material changes will be communicated via a notice in the application or through the contact channels below. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Hermes Agent is based, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the courts located in that jurisdiction.
